STONKBROKERS USE OF WEBSITE

These Use of Website terms (these "Website Terms") govern access to and use of the
StonkBrokers websites and user interfaces operated by SB (BVI) Ltd (the
"Operator"), including stonkbrokers.io, stonkbrokers.cash, stonkbrokers.wtf and
their subdomains (together, the "Website"). By accessing or using the Website you
confirm and accept these Website Terms.

1. STOCK TOKEN FEATURES · WHO MAY USE THEM

1.1 "Stock Token Features" means every part of the Website that lets you acquire,
swap, elect, vault, receive or otherwise interact with tokenized stocks and
instruments based on them, including the stock token swap desk, Clock In and
Overtime stock token elections and distributions, Broker Box, stock quoted launch
lanes, stock token Smart LP vaults and stock token certificates (the "Product").

1.2 By using any Stock Token Feature you confirm and accept that:
  (a) you are not a Canadian, Swiss or United Kingdom person, nor are you a
      person subject to, and/or located in any jurisdiction which is
      subject to, any form of international sanctions (in particular as imposed by
      the EU, Switzerland, the United Nations, the United Kingdom, or the USA);
  (b) you acknowledge that use of the Website is subject to these Website Terms;
      and
  (c) you are one of the following: (1) a Professional Client as defined in
      Section 2; or (2) you are interested in purchasing the Product following an
      offer from an appropriately licensed financial institution.

1.3 If you do not meet the requirements in Section 1.2 you are not entitled to use
the Stock Token Features. The remainder of the Website is available to you subject
to these Website Terms and to the laws of your jurisdiction.

1.4 A "Canadian, Swiss or United Kingdom person" means any person located in,
resident in, incorporated in, or accessing the Website from Canada, Switzerland
or the United Kingdom.

1.5 Persons located in, resident in, or accessing the Website from the United
States of America may use the Stock Token Features under the limited innovation
exemption granted by the U.S. Securities and Exchange Commission, subject to the
conditions of that exemption and to the remainder of these Website Terms.

2. PROFESSIONAL CLIENT

2.1 "Professional Client" has the meaning given to it in article 4(3) and 5(1) of
the Swiss Financial Services Act, but also includes:
  (i) a Qualified Investor according to article 2(e) of the Regulation (EU)
      2017/1129 if located in a member country of the European Union (EU) or the
      European Economic Area; and
  (ii) if located in any other jurisdiction which is not restricted, an equivalent
      status under local law applicable to you, such as a professional, certified,
      qualified or other type of sophisticated investor, according to the
      applicable laws in your jurisdiction.

2.2 You are solely responsible for determining whether you qualify as a
Professional Client. The Operator does not verify your status and relies on your
confirmation.

3. RESTRICTED JURISDICTIONS

3.1 The Stock Token Features and the Products are not directed at, and may not be
used by, persons in the following jurisdictions (the "Restricted Jurisdictions"):
  (a) Platform-restricted: Canada, Switzerland, the United Kingdom;
  (b) Sanctions-restricted: any jurisdiction subject to comprehensive international
      sanctions, including Iran, North Korea, Cuba, Syria, Russia, Belarus, the
      occupied regions of Ukraine and Myanmar, and any person named on a sanctions
      list maintained by the EU, Switzerland, the United Nations, the United
      Kingdom or the USA;
  (c) any other jurisdiction designated as restricted in Appendix A of the
      StonkBrokers Marketing Program Terms of Service, as published on the
      Website from time to time.

3.2 The Operator applies IP-based geographic screening to visitors from Restricted
Jurisdictions and locks the Stock Token Features for them; it may lock, hide or
refuse any other feature of the Website on the same basis, and the Operator locks
broker activation for visitors from sanctions-restricted jurisdictions. Geographic
screening is a courtesy layer and does not replace your own confirmation under
Section 1. You shall not use any virtual private network,
proxy or other means to misrepresent your location, residence or identity.

4. NO OFFER, NO ADVICE

4.1 Nothing on the Website is an offer, solicitation or recommendation to buy,
sell or hold any security, financial instrument or digital asset, and nothing on
the Website is investment, legal, tax or financial advice. Information on the
Website is provided for general information only.

4.2 The Website is a user interface only. It lets you interact with permissionless
smart contracts that live fully on chain. The Operator does not custody your
assets, does not execute transactions on your behalf and cannot reverse any
on-chain action you take.

5. RISK

5.1 StonkBrokers is experimental software. Digital assets are highly volatile and
their value can fall sharply, even to zero, at any time and for any reason. You
may lose some or all of any funds you risk. You are solely responsible for your
own research and for complying with the laws, regulations and tax obligations of
your jurisdiction.

6. INTELLECTUAL PROPERTY

6.1 The Website, its design, text, marks and code are the property of the Operator
and its licensors. The Operator reserves all rights. Use of StonkBrokers NFT art
is governed by the separately published StonkBrokers NFT License Terms.

7. LIMITATION OF LIABILITY

7.1 To the fullest extent permitted by law, the Operator and its affiliates shall
not be liable for any loss or damage arising out of or in connection with your
access to or use of the Website or any Product, including any loss of digital
assets, however caused.

8. CHANGES

8.1 The Operator may amend these Website Terms at any time, prospectively, by
publication on the Website. Continued use of the Website after publication
constitutes acceptance of the amended Website Terms.

9. GOVERNING LAW

9.1 These Website Terms are governed by the laws of the British Virgin Islands.

9.2 If any provision is unenforceable, the remainder continues in effect.
